NEBC Leads Sale of Direct Response Media Agency
NEBC has successfully consulted the owners of Marketing & Media Services, Inc. (MMSI) in the sale of their business to Respond2 Communications.

Founded in 1985, the Warwick, Rhode Island based MMSI is a leading provider of Per Inquiry (PI) media strategies. Their line of business incorporates the placement and management of direct response advertising spots primarily to the television and Internet media. Though the owners of MMSI plan to exit the business, their current management team will continue to guide operations.

The buyer, Respond2 Communications, is a Portland, Oregon based provider of direct response marketing services to clients that range from Fortune 100 companies to entrepreneurial direct marketers. Already the nation´s largest independent buyer of direct response television media, the acquisition of MMSI will expand the services of Respond2´s media planning and buying division Cmedia.

Respond2 Communications is a portfolio company of the Chicago based private equity firm, Lake Capital, who spearheaded this acquisition.


NEBC Advises Kleen, Inc. in Sale of Business
NEBC is pleased to announce the successful sale of Kleen, Inc. to private equity firm, Boulder Brook Partners.

Kleen, Inc. is the leading provider of laundry and linen cleaning services in Northern New England. The Company, which has been in operation since 1897, is the oldest of its kind within New England market and specializes in providing laundry cleaning services to the healthcare services market.

Boulder Brook Partners is a Waltham, Massachusetts based private equity group specializing in acquiring lower middle market companies.


NEBC Represents Handy Rent-All Center in Sale to United Rentals
NEBC is pleased to announce that it is has successfully represented the ownership of Handy Rent-All Center in the sale of the business to United Rentals, Inc.

In operation for 29 years, Wappingers Falls, N.Y. based Handy Rent-All Center (RER #73) is one of the largest equipment rental companies in the country and a dominant player in the Northeast. The company, which has a particularly strong presence in the highly desirable Hudson Valley region north of New York City, specializes in equipment and tool rental needs of professional contractors and homeowners.

Headquartered out of Greenwich, Connecticut, United Rentals, Inc. (NYSE: URI) is the largest equipment rental company in the world. In 2005, URI generated over $3.5 billion in total revenue serving the industry´s largest network of construction and industrial customers, utilities, municipalities, homeowners and a host of other customer types.


ATCO Acquisition Expands Plastics Company
Precision Engineered Products, of Attleboro, and its subsidiary, Matrix, Inc., a plastics components company based in East Providence, have acquired Atco Plastics, of Plainville, Mass., for an undisclosed amount of cash.

Atco´s business and assets will be integrated with Matrix´s plastic moulding plant in East Providence. Matrix, with 78 employees, has operated from the site for 43 years.

John Harker, president of Matrix, said, “Our two companies line up extremely well in terms of skills of our people, technologies, culture and can-do spirit.”

Ralph Schlenker, president of Atco, said, “The combination of our skills in close tolerance plastic moulding technology and focus on unsurpassed quality is an across-the-board win.”

Precision Engineered Products runs operating units in the United States, Mexico and China. Its operating divisions include Matrix, Brainin, Wauconda Tool & Engineering, General Metal Finishing and Polymetalurgical.

NEBC Facilitates Sale of Leading Rhode Island Based Construction Contractor
NEBC has successfully represented G. Donaldson Construction, Inc. in the sale of the business to Hayward Baker, Inc.

Rhode Island based G. Donaldson specializes in providing deep foundation and earth support services throughout New England and the Northeast. With total revenues in excess of $40 million, G. Donaldson is the largest company of it´s kind in the New England marketplace.

In operation since 1977, the Company has participated in some of the most high profile non-residential and commercial construction projects in the region. G. Donaldson´s CEO, Courtney Donaldson, will remain on with the company post closing to continue guiding operations.

The buyer, Hayward Baker Inc., is North America´s leader in specialty geotechnical construction. Hayward Baker is a subsidiary of UK-based Keller Group and operates throughout the US, Canada, and Latin America. The Keller Group is an international ground engineering company with headquarters in Europe, Australia, and North America. Listed on the London Stock Exchange (FTSE: KLR), the Keller Group posted total revenues in excess of $1.2 billion in 2005.


NEBC Advises Seacon Phoenix, Inc. in Sale of Business
NEBC is pleased to announce the sale of Seacon Phoenix, Inc. and its sister company, Phoenix Optix, Inc. The buyer, a private equity firm, plans to position Seacon as a platform for future growth. NEBC represented Seacon Phoenix in all phases of the transaction, successfully facilitating an agreement that met the expectations of both parties. Details of the deal were not disclosed.

Headquartered in Westerly, Rhode Island, Seacon Phoenix, Inc. is a leading manufacturer of a broad range of underwater and harsh environment electrical and optical components used in a variety of military and industrial applications. The Company also offers other value added services including testing, failure analysis and integrated logistics support. Through sister company Phoenix Optix, they also manufacture high performance fiber optic products.


NEBC Successfully Represents New England Linen Supply, Inc. in Transaction with New England Capital Partners
NEBC is pleased to announce that it has represented New England Linen Supply in a successful recapitalization with New England Capital Partners. The transaction is expected to facilitate the continued growth of New England Linen. The team at NEBC worked directly with the owners of New England Linen, Frank Slowey and Jeffrey Begoon, in all phases of the transaction including identifying and engaging the most suitable financial partner as well as structuring and negotiating the terms of the transaction. NEBC has been retained by D3Logic, an East Providence, Rhode Island based provider of mail services, to develop and execute an acquisition program. D3Logic is a multi-service direct marketing company specializing in automated, barcode-sorting process of letter-sized mail. The company also offers niche marketing, design, advertising and database manipulation management, and is Rhode Island´s first multi-service direct marketing facility specializing in automated barcode-sorting process of letter sized mail. The acquisition program will target companies which will expand D3´s service offerings and continue their history of strategic growth. Rocco Pezza leads NEBC´s efforts with D3Logic.


NEBC Completes Successful Sale of Pastry Art Inc.
NEBC is pleased to announce the successful sale of Pastry Art Inc. to Mr. Robert Leavitt. NEBC advised Pastry Art founders and owners Tim Kennedy and Horacio Morales on the transaction, helping Tim and Horacio to realize the substantial value they had built. Based out of Central Falls, Rhode Island, Pastry Art produces high-end fresh pastries for luxury hotels, gourmet shops and restaurants throughout eastern Massachusetts and Rhode Island.
